1. Who We Are and What These Terms Cover
These Terms of Service ("Terms") are a legal agreement between you and [COMPANY LEGAL NAME] ("UnichatAI", "we", "us"), [REGISTERED ADDRESS]. They govern your use of the UnichatAI mobile apps, the web app at unichatai.com, and every public page we host for our users' channels ("AI Smart Cards"), together the "Service".
By creating an account, signing in, or using the Service, you agree to these Terms, our Privacy Policy and, for the mobile apps, our End User License Agreement. If you visit a public AI Smart Card or chat with its AI agent without an account ("Visitor"), these Terms apply to you as well. If you do not agree, do not use the Service.
2. Eligibility and Accounts
- You must be at least 13 years old (or the minimum age in your country). If you are under 18, you may use the Service only with the consent of a parent or guardian who agrees to these Terms on your behalf.
- You must give accurate information and keep it up to date. You may sign in with an email address or with a third-party account (such as Google, Apple or Facebook); the sign-in provider's terms also apply.
- You are responsible for your credentials and for everything done under your account. Tell us at once at ai@unichatai.com if you suspect unauthorised use.
- One person, one account. Accounts may not be sold, transferred or shared.
3. The Service
UnichatAI currently provides:
- Chat — private and group messaging, and channels.
- AI Smart Card and Channel Agent — a public page for your channel, with an AI agent that answers visitors from the material you provide.
- AI Assistant — conversations for general questions, writing memos and planning schedules, with thinking modes and tools such as web search, a computation sandbox, image generation and connectors to third-party services you authorise.
- Notes and Schedules — structured notes and schedules with reminders, which can feed your AI Smart Card.
- Community — a directory of public channels.
We may add, change, limit or remove features at any time. Some features may be labelled beta or preview; they may change or be withdrawn without notice and are provided without warranties beyond those in Section 16.
4. Your Content
- You own the content you create, upload or store in the Service ("Content"), including messages, channel material, notes, schedules, AI conversations and files.
- You grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit and display your Content as needed to operate, secure, support and improve the Service and to comply with law. This licence ends when you delete the Content or your account, except where we must keep it by law or where it has been shared with others who still have it.
- Public Content. Anything you publish in a public channel or on your AI Smart Card is public. For Public Content you also allow us to display it to anyone, to list it in Community and on our website, and to let search engines index it. You can make a channel link-only or delete it at any time.
- You are solely responsible for your Content and must have all rights needed to use it in the Service. We do not monitor Content before it is posted, but we may remove Content that breaches these Terms.
- We do not use your Content to train AI models, and we do not permit our AI providers to do so.
- Keep your own copies of anything important. The Service is not a backup service.
5. AI Smart Cards and Channel Agents — Your Duties as an Owner
Your Channel Agent answers visitors in your name, using your channel profile, the Q&A, notes, schedules and other material you give it. When you enable it:
- You are responsible for the material you provide and for the answers your Agent gives from it, as if you had written them yourself. Keep your material accurate, lawful and up to date.
- Do not present your Agent as a human, or as another person, brand or organisation you are not authorised to represent.
- Do not use your Agent to give medical, legal, financial, immigration or other advice that requires a licence, unless you hold that licence and your material makes clear what the Agent can and cannot do. Where the Agent adds general knowledge beyond your material it labels this as its own opinion; you may turn off that behaviour or correct it with your material.
- You can read the conversations visitors have with your Agent, including any name and email a visitor provides. Use that information only to respond to the visitor and operate your channel, keep it confidential, and comply with the privacy laws that apply to you. If you turn off "Save Agent chat history", visitor conversations are not stored for you.
- Visitors' questions use your AI credits or your plan's daily Agent allowance. You can set a per-conversation limit; we may also apply daily caps and other safeguards.
- We may suspend an Agent, a channel or your account if your material or your Agent's answers breach these Terms.
6. Visitors and Guests
You may read public AI Smart Cards and chat with their Agents without an account. When you do:
- The Agent's answers come from the channel owner's material, not from us. We do not verify that material and we are not a party to any dealing between you and a channel owner.
- The channel owner can read your conversation with their Agent, including any name and email you enter, and it may be stored if the owner has enabled conversation saving. Do not share information you do not want the owner to have.
- Guest conversations are subject to rate limits and to the owner's per-conversation limit, and they stop when the owner's allowance is used up.
- A "verified" badge means we have completed identity checks on the account at our discretion. It is not an endorsement, recommendation or guarantee of the owner or their content, and we may remove it at any time.
- You can report a channel, a message or a user from the channel page, and you must follow Section 10 (Acceptable Use).
7. AI Features and AI-Generated Output
- AI output is generated automatically and is probabilistic. It may be inaccurate, incomplete, out of date or inappropriate, and it may differ for the same question. Review output before you rely on it.
- AI output is not professional advice. Do not rely on it for medical, legal, financial, safety or emergency decisions.
- Web search results and other third-party content shown by the assistant belong to their sources; we are not responsible for them.
- Files and images the assistant produces for you (charts, spreadsheets, documents, generated images) are yours to use, subject to third-party rights and applicable law.
- Connectors. If you connect a third-party account (for example Google Drive or Gmail), you authorise us to access it and act in it on your instructions, within the permissions you grant. Actions the assistant takes there are your actions. You can disconnect at any time in the Service or in the third-party account's settings, and you are responsible for complying with that provider's terms.
- We choose the AI models behind each feature and may change them. Thinking modes that reason more deeply use more credits; the Service tells you so.
- AI conversations pass through automated safeguards (content filters, usage and spending monitoring). These may mask text, decline a request, or automatically pause AI features for an account whose usage pattern looks abusive or compromised, pending human review. Contact ai@unichatai.com if you believe this happened by mistake. We may also pause AI features for everyone in an emergency.
8. Plans, Credits and Payments
- Credits. AI features consume credits. Every plan, including the free Basic plan, includes a pool of credits for each billing period and a daily allowance of free Channel Agent answers. Paid plans include larger pools. The features and AI are the same on every plan; plans differ in credits.
- Credits reset at the start of each billing period and unused credits do not roll over. Bonus credits (for example from invitations) may have their own expiry and rules shown where they are granted. Credits have no cash value, are not transferable, and cannot be redeemed for money.
- How many credits a request uses depends on the feature, the thinking mode and the length of the conversation and attachments. We may adjust allowances, caps and how credits are consumed; changes that reduce what a paid plan includes apply from your next billing period after notice.
- Billing. Prices, billing periods and what is included are shown before you buy. In the mobile apps, purchases are made through the App Store or Google Play and are governed by their terms; on the web, payments are processed by our payment provider. We do not store your full card details.
- Auto-renewal. Subscriptions renew automatically at the end of each period until you cancel. Cancel through the store or your account settings on the platform where you bought it; cancellation takes effect at the end of the current period. Refunds, where available, follow the rules of the store or payment provider and applicable law.
- Prices may change. We will give you at least 30 days' notice of a price increase for an existing subscription; it applies from your next renewal after that notice, and you may cancel before then.
- Prices exclude taxes unless stated; you are responsible for any taxes that apply.
9. Invitations
You may share your invite code or link. When someone signs up with it we may grant bonus credits to one or both of you under the rules shown in the Service at the time. Invitations must be genuine: no self-invitations, bulk or automated sign-ups, paid incentives, spam or misleading promotion. We may withhold or reverse rewards and change or end the programme at any time.
10. Acceptable Use
You must not use the Service, or let anyone use your account, to:
- break any law, or infringe anyone's intellectual property, privacy, publicity or other rights;
- harass, threaten, bully, defame or discriminate against anyone, or promote violence, terrorism, self-harm or hate;
- post or request sexual content involving minors, or exploit or endanger minors in any way;
- post sexually explicit content, or content that is otherwise objectionable, in public channels or AI Smart Cards;
- deceive, defraud or impersonate anyone, including with AI-generated text, images or an Agent presented as someone else;
- send spam, malware or unsolicited commercial messages, or collect other users' data without permission;
- use the Service to build or train a competing AI model, or to extract its prompts, models or data;
- bypass credits, rate limits, safety filters or other restrictions, or use automation, scripts or multiple accounts to do so;
- reverse-engineer, probe or disrupt the Service or its infrastructure.
11. Content Moderation, Reporting and Blocking
We do not tolerate objectionable content or abusive behaviour anywhere in the Service. Messages pass through an automated filter that masks prohibited terms. Every conversation, message, channel and user can be reported from inside the Service, and you can block any user so their messages are no longer delivered to you. We review reports and act on violating content and accounts within 24 hours, which may include removing content, restricting features, and suspending or terminating accounts. You agree to use these tools rather than retaliating. You can also contact ai@unichatai.com.
12. Intellectual Property and Feedback
The Service, including its software, design, trademarks and documentation, belongs to us or our licensors and is protected by law. Apart from the rights expressly granted in these Terms, we grant you no rights in it. If you send us suggestions or feedback you allow us to use them without obligation to you.
13. Third-Party Services
The Service relies on third parties, including app stores, payment providers, sign-in providers, AI model providers and services you connect. Their terms and privacy policies apply to their part of the Service. We are not responsible for third-party services, content or websites, including anything you open from a link in a channel or an AI answer.
14. Copyright Complaints
If you believe Content in the Service infringes your copyright, send a notice to ai@unichatai.com with: your contact details; a description of the work; the link or location of the material; a statement that you believe in good faith the use is not authorised; a statement under penalty of perjury that the notice is accurate and that you are the owner or authorised to act for the owner; and your physical or electronic signature. We may remove the material, notify the user who posted it and accept a counter-notice. We terminate the accounts of repeat infringers.
15. Suspension and Termination
- By you. You can stop using the Service at any time and delete your account in the app (Me → My Setting → Delete Account), on the web at unichatai.com/deactivate, or from the login screen. Deleting your account does not cancel a store subscription; cancel it with the store.
- By us. We may suspend or terminate your access, or remove Content, if you breach these Terms, if the law requires it, to protect the Service or other users, or if we discontinue the Service. Where reasonable we will tell you why and give you a chance to respond.
- We may delete accounts that have been inactive for 24 months after giving notice to the email on the account.
- On termination your licence ends and we delete or anonymise your data as described in the Privacy Policy. Unused credits are forfeited; paid periods are not refunded except as the law or the store requires. Sections that by their nature should survive (including 4, 7, 12, 16 to 19) survive termination.
16. Disclaimer of Warranties
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, secure or error-free, that AI output will be accurate, or that Content will be preserved.
17. Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, officers, employees and providers are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, profits, revenue, goodwill or business, arising from or related to the Service or AI output. Our total liability for all claims in any 12-month period is limited to the greater of the amount you paid us in that period and USD 100. Some jurisdictions do not allow certain limitations; in those places our liability is limited to the fullest extent the law allows. Nothing in these Terms limits liability that cannot be limited by law, including for fraud, or your statutory consumer rights.
18. Indemnification
You will defend and indemnify us against claims, damages and costs (including reasonable legal fees) arising from your Content, your Channel Agent's answers, your use of the Service in breach of these Terms, or your breach of law or third-party rights.
19. Governing Law and Disputes
These Terms are governed by the laws of [GOVERNING LAW JURISDICTION], without regard to conflict-of-law rules. Before starting a formal claim, contact us at ai@unichatai.com and we will try to resolve the matter with you informally within 30 days. Any dispute that is not resolved will be brought in the courts of [VENUE], and you and we submit to their jurisdiction. If you are a consumer, you also keep any right to bring a claim in your own country of residence that the law gives you.
20. Changes to These Terms
We may update these Terms. For material changes we will give you at least 14 days' notice in the Service or by email before they take effect, unless the change is required by law or addresses a safety issue. If you keep using the Service after a change takes effect, you accept the new Terms; if you do not agree, stop using the Service and delete your account.
21. General
These Terms, the Privacy Policy and the EULA are the entire agreement between you and us about the Service. If any part is unenforceable the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them to an affiliate or a successor. We are not liable for failures caused by events beyond our reasonable control. You must comply with export and sanctions laws that apply to your use of the Service.
